What are Tender Documents?
Tender documents (Vergabeunterlagen) are the comprehensive set of documents provided by the contracting authority to potential bidders, containing all information necessary to prepare and submit a bid. They define the subject matter of the procurement, the technical and commercial requirements, the terms and conditions of the contract, the evaluation criteria, the formal submission requirements, and the procedural rules governing the procurement.
A complete set of tender documents typically includes several components: the covering letter (Anschreiben) with procedural instructions, the bill of quantities or specifications (Leistungsverzeichnis) describing the required goods, services, or works, the draft contract terms and conditions, the description of the evaluation criteria and their weighting, the forms and declarations that bidders must complete and submit, and any supplementary technical documents such as drawings, plans, or reports.
The tender documents must be made available to all interested bidders simultaneously and on equal terms. For above-threshold procurement, Section 41 VgV requires that the complete tender documents be available electronically from the date of publication of the contract notice. Contracting authorities must not provide preferential access to any bidder, and any additional information or clarifications provided during the procedure must be communicated to all bidders equally.
Why It Matters for Bidders
The tender documents are the blueprint for bid preparation. Bidders must study them thoroughly to understand exactly what is required, how their bid will be evaluated, and what formal requirements must be met. A systematic approach to document review, involving technical, commercial, and legal experts as appropriate, significantly reduces the risk of submitting non-compliant or suboptimal bids.
Bidders should pay particular attention to the evaluation criteria and their weighting, as these determine how the contracting authority will assess and compare bids. Understanding whether the award will be based primarily on price, quality, or a combination of both is fundamental to developing an effective bid strategy. Any ambiguities or inconsistencies in the tender documents should be addressed through bidder questions before the submission deadline.
Legal Framework
Requirements for tender documents are established in Sections 29 to 31 VgV for above-threshold procurement and in the UVgO for below-threshold procurement. For construction works, VOB/A contains detailed provisions on the content and structure of tender documents. EU Directive 2014/24/EU Article 42 addresses technical specifications, and Article 53 mandates electronic access to procurement documents.
